BY USING THE AMIEL WEBSITE (“AMIEL” or “WEBSITE”), THE INDIVIDUAL IF ACTING ON BEHALF OF HIMSELF OR HERSELF (“INDIVIDUAL CUSTOMER“ OR “YOU”) OR THE INDIVIDUAL WHO IS ACTING ON BEHALF OF AN EDUCATIONAL OR NONPROFIT INSTITUTION, GOVERNMENTAL AGENCY, COMPANY OR OTHER (“ENTITY CUSTOMER”, THE INDIVIDUAL CUSTOMER AND ENTITIY CUSTOMER TOGETHER ARE:”CUSTOMER”) IS AGREEING TO BE BOUND BY THIS AGREEMENT (“AGREEMENT”).

IF CUSTOMER DOES NOT AGREE TO THIS AGREEMENT, CUSTOMER MAY NOT USE THE AMIEL WEBSITE.

The Website is made available to you solely for informational, non-commercial use.

AMIEL may change or otherwise modify the Agreement in the future, and Customer understands and agrees that his continued access or use of this Website after such change signifies his acceptance of the updated or modified Agreement. Any revisions will take effect upon posting. AMIEL will notify its members of material changes to these terms and conditions by either sending a notice to the email address provided at registration or by placing a notice on the Website.

Subject to the terms and conditions of this Agreement, AMIEL grants to Customer a non-assignable, nontransferable permission to use the info under its website, without the right to sublicense (“the Info”). Customer may not reproduce or distribute any part of the info in any manner, whether physically or electronically, without the express written permission of AMIEL.

Customer use of the Info is at his sole risk. The Info is provided on an “as is” and “as available” basis.

Customer must not upload materials or profiles that are, in AMIEL sole discretion, unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or this Agreement.

AMIEL does not warrant that the Info will meet Customer specific requirements, or that the Info will be uninterrupted, timely, secure, or error-free, or that the results that may be obtained from the use of the Service will be accurate or reliable, the quality of any products, services, information, or other material purchased or obtained by Customer through the Info will meet Customer expectations, and that any errors in the Info will be corrected.

By submitting content to the Website by “contact us”, or otherwise, including questions, photographs or videos, comments, suggestions, ideas or the like contained in any submissions (collectively, “Submissions”), Customer grants AMIEL and its affiliates a nonexclusive, royalty-free, perpetual, transferable, irrevocable and fully sublicensable right to (a) use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from and publicly display and perform such Submissions throughout the world in any media, now known or hereafter devised, for any purpose; and (b) use the name that Customer submits in connection with such Submission. Customer acknowledges that AMIEL may choose to provide attribution of Customer comments or reviews at AMIEL’s discretion. Customer further grants AMIEL the right to pursue at law any person or entity that violates Customer’s or AMIEL’s rights in the Submissions by a breach of this Agreement. Customer acknowledges and agrees that Submissions are non-confidential and non-proprietary.

The AMIEL Website, contain copyrighted material and other proprietary material and information of AMIEL and/or its licensors or its affiliated companies. AMIEL and/or its licensors or its affiliated companies shall retain all right, title, and interest, including all intellectual property rights, in and to the Website. Customer will not remove, alter, or destroy any form of copyright notice, proprietary markings, or confidential legends placed upon or contained within the AMIEL website or any component thereof.

If the website provides links to third party websites, such websites are not under the control or responsibility of AMIEL, and AMIEL disclaims all liability or warranty concerning such websites or their contents or use of downloadable materials available from such websites.

THE AMIEL INFO IS PROVIDED TO CUSTOMER ON AN ‘AS IS’ AND ‘WHERE IS’ BASIS AND WITHOUT WARRANTY OF ANY TYPE OR KIND. AMIEL HEREBY EXPRESSLY DISCLAIMS AND EXCLUDES ON BEHALF OF ITSELF AND ITS LICENSORS ALL WARRANTIES AND CONDITIONS, WHETHER STATUTORY, EXPRESS, IMPLIED, OR OTHERWISE, WITH RESPECT TO THE AMIEL SOFTWARE AND SUPPORT SERVICES IF APPLICABLE, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

IN NO EVENT SHALL AMIEL OR ITS LICENSORS HAVE ANY LIABILITY FOR ANY INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE FORM OF THE ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT PRODUCT LIABILITY, OR OTHERWISE, EVEN IF ANY REPRESENTATIVE OF AMIEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF THIS AGREEMENT OR ANY LIMITED REMEDY HEREUNDER.

TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF AMIEL, FOR ANY CLAIM UNDER THIS AGREEMET, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT CUSTOMER PAID AMIEL TO USE THE SERVICE.

This Agreement, together with the Privacy Policy contains the entire agreement between us concerning your use of the website or its contents and supersedes all prior agreements concerning the use of the website.

If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remaining provisions in the Agreement shall continue in effect.

Except as expressly provided herein, Customer may not assign or transfer any of its rights under this Agreement without the prior written consent of AMIEL. This Agreement will be governed by and construed in accordance with the laws of Israel.
